Partner terms and conditions

Figures shown in these terms (fees, percentages, limits and timings) are the values in force today. They can change as described in the terms.

1. About these terms

These terms are an agreement between Mackelpas Nigeria Limited (RC 1330755), which operates tixandvotes (“we”, “us”), and you, the person who signs up to the partner programme (“you”, the “Partner”). You must tick the box confirming you have read and agree to these terms before a partner account is created, including when you sign up with Google.

2. Your partner account

  • You must be at least 18 years old and give us true, complete information.
  • Payouts are made only to a verified Nigerian bank account in your own name.
  • You are responsible for keeping your login secure and for everything done through your account.

3. Referral code and link

  • You receive a unique referral code and partnership link.
  • A referral counts only if an organizer enters your code, or arrives through your link, when creating their organizer account. Once saved, the referral is locked to that organizer account permanently and cannot be added, changed or removed later.
  • Each organizer account can have only one referring partner.

4. What you earn

  • For each Competition run by an organizer you referred, you earn 2% of the Vote Money (paid out of our commission), but only if that Competition raises at least ₦100,000.00 in Vote Money. The threshold is counted per Competition (each award category is its own Competition) and excludes payment processing fees.
  • Once a Competition reaches the threshold, your share applies to all of its completed votes. If it does not reach the threshold, you earn nothing on it.
  • You do not earn on organizer Unlock Fees. Rules for ticket sales will be announced when ticketing launches.
  • You keep earning on a referred organizer's Competitions for as long as their account remains active, subject to these terms.

5. Getting paid

  • Earnings on a Competition become payable when the Competition has ended and has reached the threshold. There is no withdrawal to request: once the organizer's payout for that Competition has settled (usually the next business day after it ends), we send your earnings to your verified bank account automatically, and list each payment in your dashboard with the Competition it came from.
  • The Payment Provider's transfer fee is deducted from each payout. You are responsible for any tax on your earnings.
  • We may delay a payout while we review suspected fraud or a disputed payment.
  • If a payment is refunded or charged back, your share of it is removed if not yet paid to you. If already paid, we may deduct it from your future earnings.

6. No self-referral

You may not earn on yourself. You may not refer your own organizer account, or any account you own, control or are closely connected with. If you also run competitions as an organizer, you earn nothing on your own competitions, and an organizer role you add to your own login cannot carry any referral code.

We may treat a partner and an organizer as connected where they share a phone number, bank account, device or other identifying details, and we may cancel or withhold earnings on those referrals. You confirmed that you understand this rule when you signed up.

7. How you may promote us

  • Do not make false or misleading claims about our fees, payouts, results, or what organizers will earn.
  • Do not spam, impersonate us, or say that you work for us or speak for us. You are an independent partner, not our employee or agent.
  • Do not buy online ads using our name or brand as a keyword without our written permission.

8. Forfeiture and removal

If we reasonably believe that you, or an account you referred, have been involved in fraud, vote manipulation, self-referral, chargeback abuse, misleading promotion or any breach of these terms, we may cancel your unpaid earnings, hold them while we investigate, recover earnings already paid on the affected payments, and remove you from the programme. 9. Inactive partners

If your account has no activity for 6 months, we will ask you to confirm or renew it, and we may close it if you do not. Earnings already payable remain owed to you for a further 6 months after we notify you, after which unclaimed amounts may lapse.

10. Changes and ending the programme

We may update these terms at any time, including the partner percentage, the threshold, when and how earnings are paid, and the rules of the programme. Changes apply to new referrals immediately, and to existing referrals after 14 days notice. We may end the programme with the same notice. Earnings that became payable before a change or the end of the programme remain payable under these terms.

11. Liability

The programme is provided “as is”. To the extent the law allows, we are not liable for indirect or consequential loss or lost profit, and our total liability to you is limited to the earnings due to you under these terms.

12. Law, disputes and contact

These terms are governed by the laws of the Federal Republic of Nigeria. Disputes are first negotiated in good faith for 30 days, then referred to arbitration in Lagos under the Arbitration and Mediation Act 2023. Contact: Mackelpas Nigeria Limited, hello@tixandvotes.com.
